Gamma Holding heeft de Vlisco Groep uit geldnood voor € 118 miljoen verkocht aan Actis, een Engelse private equity firma. De opbrengst wordt gebruikt voor schuldreductie.

Gev. te Helmond (N.Br) aan de Binnen Parallelweg 27; In 1846 opgericht door Pieter Fentener van Vlissingen en zijn compagnon Jan Matthijsen. Vanaf 1917 is het een beursgenoteerde N.V. Vanaf 1970 werd de bekende naam Vlisco gehanteerd (ontleend aan Vlissingen & Co). In 1972 werd het bedrijf een onderdeel van Gamma Holding, de naam Vlisco bleef in gebruik. In 2010 heeft Gamma Holding de Vlisco Groep uit geldnood verkocht aan Actis , een Engelse private equity firma. Het bedrijf produceerde o.a. de bekende rood-bonte boeren-zakdoek, maar werd beroemd om zijn op Batik gebaseerde bedrukte stoffen, eerst voor de Nederlands-Indische markt en later, tot heden, voor de Afrikaanse markt. 31 oktober werd in Griekenland de 2500e verjaardag gevierd van de slag bij Marathon. 12.500 lopers deden dit jaar mee in Athene, drie keer zo veel als normaal. Premier George Papandreou liep het 10 km. onderdeel ook mee (bron: FD, 1-11-2010).

Incorporated in 1969 under Delaware law, USA; The company was founded by Howard Terry, originally as Business Funds Inc. It built oil rigs world wide. The company also owned the John Brown Shipyards that once built the HMS Hood, the Queen Elisabeth, and QE2. Later the company was acquired by Penn Central Corporation during its diversification phase (Source: Collectible Stocks and Bonds).

Marathon  


In 490 BC the people of Athens (now the capital of Greece) gained (under leadership of Miltiades) the victory over their enemies, the Persians (under leadership of Datis) in the battle of Marathon, a small site on the north east coast of Attica. A messenger (the soldier Pheidippides) ran so quickly to Athens (ca. 40 km away) to bring the good news that he died upon arrival. This "Marathon walk" has always remained part of the Olympic Games, over a measure of 40,195  meters. (source: ENSIE, part X).

Abacus Fund

Abacus Fund, Inc.
under Delaware law; 1960's; Certificate of 100 shares, ABNC print, orange border; 11 by 5 cm engraving  of 2 men next to an abacus (counting frame; NL.: telraam), used in ancient China and the classical world in Europe. It is still in use in parts of Asia (source: E.N.S.I.E., 1952, X, p. 3); price 25 Euro.

Abacus was also the name of another investment fund...............read the story !

Goldman Sachs alledgedly fooled investors in 2007 by inviting them to take shares in their "Special Purpose Vehicle" named Abacus. They sold part of the fund with the label "quadruple A", suggesting the investment to be very safe indeed. And so thought investors and the insurers, ACA and ABN-AMRO, who only asked a very small premium for insuring the default-risk of the fund. ABNAMRO, now Royal Bank of Scotland received a premium of only € 1,5 million (money gained easy and with minimal risk, so they thought), but had to pay out $ 841 insurance money, in 2008, because Abacus did fail indeed. What the buyers of the shares and the insurers did not know, was dat Hedge fund Paulson had choosen the mortgages for the Abacus fund and that they speculated on it's default. Paulson gained $ 1 billion with the default of Abacus. The SEC accuses Goldman Sachs and Paulson that the Abacus fund was designed to fail, something that Goldman Sachs denies (source: Financieel Dagblad, April 20th 2010).

Celanese Corporation, Incorporated under delaware law, USA;
Celanese is a Kronberg (Germany) based Chemical Industry conglomerate; in 1999 it became (again) independant from the German Mother firm Hoechst and became listed at the German stock exchange. with an introduction price of about 16 Euro. In 2003 it had a turnover of 4,3 billion Euro with 10.700 employees, working in 24 factories and 6 research institutes in 10 countries in North America, Europe and Asia. In April 2004  The American venture capital Blackstone Group has received approval for buying the company at a price of 32,50 Euro, about double the introduction price 4 years ago. The bid has a value of 3,1 billion Euro including debts and pension fund obligations. Until now the Kuwait Petroleum Corporation held 29% of the stock of Celanese.

Germany based  erotica concern Beate Uhse (listed on the German stock exchange) takes over her largest competitor in TheNetherlands: Christine le Duc. All 250 European stores of Beate Uhse will in 2004 be serviced by  a new logistics centre in Almere (The Netherlands).

Rexall, later Rexall Drug and Chemical Comp. and later Rexall Sundown has in 2000 become part of the Dutch company Numico.
Numico paid  1.800 million $  in 2000, had only head aches from this acquisition and was glad to be able to resell it in june 2003 for only 250 Million $ to NBTY.

The Royal Dutch / Shell group takes over the USA based Pennzoil-Quaker State oil company. It pays 1,8 billion $ and takes over 1,1 billion $ debts. Pennzoil is the largest producer of lubricants in the world. Royal Dutch pays shareholders of Pennzoil a 42% premium on the latest stock price !

Op RTL4 sponsort Carbonell tijdens de lente van 2002 het weer (zie de TV reclame). Dat geeft ook wel weer aanleiding tot humor: zie cartoon over Carbonell sponsoring !

Nederlands: Carbonell maakt de bekende olijfolie (zie het bekende flessenetiket). Cordoba, in zuid-Spanje, is een belangrijk centrum van olijf-verwerking en ligt temidden van zeer uitgestrekte gebieden met olijfboomgaarden. Op RTL4 sponsorde Carbonell - als reclame - tijdens de lente van 2002 het weer. Dat gaf weer aanleiding tot humor: zie cartoon over Carbonell sponsoring !

"Houston based electricity company ENRON becomes disater for it's pensioners"
Many former and current employees of the defaulting company ENRON had major parts of their pension funds invested in ENRON itself. In The Netherlands such disaters can since ca. 50 years (!) no longer happen after the failure of :

After World War II, the company produced nylon stockings. But soon it went broke.  Willy-nilly this was to have a marked influence on Dutch pension fund laws: as the company's pension fund had invested an important part of its money in the company itself, it could subsequently not meet its obligations to the pensioners. As a direct consequence of this, a new Dutch law was created: the "Pensioen- en Spaarfondsenwet", which stipulates that pension funds may only invest 5% of their assets in their own company, the exception being that more is allowed if the pension fund has an ample reserve surplus cover. Jack Beeren, one of the Sons mentioned on the certificate, and who signed the certificate as member of the board of directors, emigrated in 1950 to the USA, where he founded a textile company in South Carolina, called "Klernits". Due to the falling stock markets some Dutch company pension funds saw their necessary reserves fall to an uncomfortable, be it still sufficient, level. The large Dutch pension fund ABP, one of the world's largests (if not the largest) also saw it's comfortable reserves slink dramatically from ca. 150 % to ca. 110% of it's legal obligations.
In his interesting book Rijk Blijven (Staying Rich), a history of Dutch stock markets from 1540 until now, Martien van Winden argues (p147) that the high average percentage (50) invested in stocks by Dutch pension funds is only warranted by the stock market developments in the last 50 years, but not by developments in the 50 years before that, vividly describing the market downtrends between 1720 -1795 and 1920-1932.
An illustration of a Dutch pension fund for civil servants that went broke is the NV Nederlandsche Maatschappij van Zekerheidsstelling voor Ambtenaren en Beambten (Eng: company for assurance for civil servants), gev. te Amsterdam, opgericht 27-6-1891. Sierrand van het bekende muzieknotenschrift van de drukker Joh. Enschede en Zonen, Haarlem (Eng: decorative border from so called "music notes", a safe printing method originally used for bank notes). Volgens W.J. Nieboer (VVOF mededelingenblad , maart 1996, p. 8) kan de maatschappij worden beschouwd als een voorloper van de huidige pensioenfondsen. Hij schrijft dat het de firma slecht verging en dat vele beambten in die jaren hun pensioen in een faillissement zagen opgaan.

Now, the videorelease can be hired of the beautiful 1999 film (172 minutes !) "Jason and the Argonauts".  It covers only half the journey described here on this site, but is an adventure film worth seeing !

Food / grocery chain Laurus declines take-over bid by SPAR. Laurus and Spar do not agree on the take over price and Laurus is now allowed to negotiate with other bidders. Until mid April Spar has priority right to buy Laurus, provided they will pay at least the amount of the highest bidder at that time.

This food retailing company was established in 1928 under Delaware law. The company went broke early 2001 and was taken over by the Dutch multinational AHOLD. Ahold's daughter Stop & Shop in massachusets took over 36 stores and 8 locations; Ahold daughter Tops Markets in New York State took over 20 stores.
